Buyers of service businesses look for recurring or contract-based revenue, a diversified customer base (no single account over 15 percent), a team or systems that reduce owner dependence, 3 years of growing profitability, transferable licenses and relationships, and a willing seller transition. Service businesses typically sell at 2x to 3.5x SDE; recurring-revenue service businesses can reach 4x or higher.

  • Customer diversification: no single client over 15 percent of revenue
  • Documented processes that anyone trained can follow
  • A team that runs daily operations without the owner
  • Strong online reviews and brand
  • Transferable licenses, certifications, and vendor agreements

What buyers will discount or walk away from

  • Owner is the brand and the technician
  • Customers will leave if the owner does
  • Cash-heavy revenue that does not show on tax returns
  • One customer over 25 percent of revenue
  • No employment agreements with key staff
  • Short lease or non-assignable franchise

How to prepare a service business for sale

  1. Get your books on accrual or properly normalized cash, matched to tax returns
  2. Sign or renew customer contracts and key employee agreements
  3. Document daily, weekly, and monthly operating procedures
  4. Diversify your customer base if any single account is over 20 percent
  5. Transition relationships from you to your team where possible
  6. Lock in a long-term, assignable lease if you have one
